ARTICLE 1: OBJECT

In the execution of this contract, ARUM AcCESs, the provider, undertakes to organise, as part of the jointly validated collaboration project, the defined mission

ARTICLE 2: CROSS BONDS

2.1: Provider’s responsibility

The provider undertakes to carry out the task specified in Article 1, in accordance with the rules of the art and in the best way. He will have to ask the client for all the necessary elements to ensure the proper performance of the service.

2.2: Customer responsibility

The client is obliged to give access to information or technical and/or human means.

ARTICLE 3: CONFIDENTIALITY

Le prestataire considérera comme strictement confidentiel, et s’interdit de divulguer, notamment toute information, document, donnée ou concept, dont il pourra avoir connaissance à l’occasion du présent contrat. Pour l’application de la présente clause, le prestataire répond de ses salariés et comme de lui-même. Les partenaires associés à la mission par le prestataire sont soumis aux mêmes règles de confidentialité voire de secret professionnel. Le prestataire, toutefois, ne saurait être tenu pour responsable d’aucune divulgation si les éléments divulgués étaient dans le domaine public à la date de divulgation ou les obtenait de tiers par des moyens légitimes.

The provider will consider as strictly confidential and will prohibit the disclosure of any information, document, data or concept that he may be aware of during this contract.

For the application of this clause, the provider is guarantor of his employees and as of himself.

Partners associated with the mission by the provider are subject to the same rules of confidentiality or professional secrecy.

The provider, however, cannot be held liable for any disclosure if the disclosed material was in the public domain at the date of disclosure or obtained it from third parties by legitimate means.

ARTICLE 4: GROUP STRUCTURING

As part of a training, the number of participants per group is defined according to the objective of the seminar with a maximum of 10.

For other group benefits, the number is determined jointly with the client.

The list of participants (name-function-entity) must be communicated at least 3 weeks before the start date of the training or collective benefit.

ARTICLE 5: DURATION

The duration of the training or delivery is indicated in the contract proposal (front page).

ARTICLE 6: BILLING

The billing schedule is defined in the contract proposal (front page). For training, the contractual proposal, acts as a simplified agreement, is attached to the first invoice.

In the event that the service is taken care of by a third party, the customer is in charge of making the necessary requests to the third party in order to enforce our general terms of sale.

Before the start of the session, the client ensures that the third party will send ARUM AcCESs a purchase order or confirmation of committment.

The amount specified in the contract includes the animation of the services described on the front of the contractual proposal.

Unless a flat-rate contract, this amount does not include:

  • Duplication of media specifically developed for participants
  • Meeting room rental fees
  • Equipment rental fees
  • Participants’ accommodation costs

Consultant’s travel and accommodation costs are billed separately at the actual cost by ARUM AcCESs on vouchers.

ARTICLE 7: TERMS OF PAYMENT

In accordance with French law as of January 1, 2009 (LME), services are payable in euros (cheque or bank transfer), paid as soon as invoice reception.

Unless special mentions are mentioned on the contractual proposal, services are payable 50% when order, 50% to receipt of invoice.

Any delay in settlement will result in a late payment penalty of 1.5 the legal interest rate from the 8th day following the invoice date.

ARTICLE 8: NON-EURO EXCHANGE RATE

ARUM AcCESs will allow itself the right to review its rates for services billed in non-euro currency.

The rate will be based on the exchange rate and associated bank charges at the time of services’ production.

ARTICLE 9: CANCELLATION OR POSTPONEMENT

9.1 Cancellation and postponement

The action will be billed under the following conditions:

  • postponement or cancellation communicated in writing at least 30 days before the action: no compensation
  • postponement or cancellation communicated in writing less than 30 days and at least 15 days before the action: 30% of the production fee will be charged to the customer.
  • postponement or cancellation communicated in writing less than 15 days before the action: 70% of the production fee will be charged to the customer.
  • postponement or cancellation communicated in writing less than 7 days before the action: 100% of the production fee will be charged to the customer.

In the event of financing through a third-party , the compensation will be billed to the company.

All costs incurred will be charged.

9.2 Notification

Any decision to defer or cancel must, in order to be effective, have been acknowledged by ARUM AcCESs.

ARTICLE 10: PARTICIPANT ABSENCE

In the absence of a participant in an action in progress, the amount of service delivery remains unchanged.

ARTICLE 11: ADDED VALUE’S OR COMPLEMENTARY’S RESOURCES

To carry out its mission, ARUM AcCESs reserves itself the right to use external providers.

ARTICLE 12: TERMINATION

In the event of non-compliance by one party with any of the obligations laid down by the contract, the other party may terminate it as of right after sending a recommended letter with containing a formal notice to comply with its obligations.

 However, the entire amount of time spent will be fully billed.

ARTICLE 13: DISPUTE SETTLEMENT

The parties will endeavour to settle out of court any disputes arising from this contract. In the event of a persistent disagreement, the « Commercial Court of Créteil » will be the only one admitted for judging.
